1. Acceptance of Terms

These Terms of Service ("Terms") govern your access to and use of TraderTools Pro ("TraderTools Pro," "we," "us," or "our"), operated by Guerilla Finance Inc., a Georgia company. By creating an account, subscribing, or accessing any TraderTools Pro platform or linked tool, you agree to be bound by these Terms and all applicable policies incorporated herein. If you do not agree, you must immediately cease using all TraderTools Pro services.

2. Description of Services

TraderTools Pro is a subscription bundle providing access to the following research platforms operated by Guerilla Finance Inc.: (a) DilutionWatch — dilution risk tracking, SEC filing analysis, and offering intelligence; (b) BiotechSigns — biotech catalyst intelligence, FDA event tracking, and clinical trial data; (c) StonkWhisper — market intelligence covering congressional trading disclosures, insider transactions, institutional flow, and dark pool activity; (d) ChainSifter — supply chain intelligence and SEC contract relationship mapping; (e) Contract Trader — government procurement intelligence (when available). Each platform operates independently and is subject to its own terms, data sources, and limitations.

3. Not Financial Advice — No Exceptions

ALL CONTENT, DATA, SCORES, SIGNALS, ALERTS, SUMMARIES, AND ANALYSES PROVIDED THROUGH TRADERTOOLS PRO AND ALL LINKED PLATFORMS ARE FOR INFORMATIONAL AND EDUCATIONAL PURPOSES ONLY. NOTHING CONSTITUTES INVESTMENT ADVICE, FINANCIAL ADVICE, TRADING ADVICE, TAX ADVICE, LEGAL ADVICE, OR ANY OTHER PROFESSIONAL GUIDANCE. TRADERTOOLS PRO IS NOT A REGISTERED INVESTMENT ADVISER, BROKER-DEALER, OR FINANCIAL PLANNER. USE OF THIS SERVICE DOES NOT CREATE ANY ADVISORY, FIDUCIARY, OR PROFESSIONAL RELATIONSHIP OF ANY KIND.

4. Subscription and Billing

Access to TraderTools Pro requires a paid subscription. Subscription fees are billed monthly or annually as selected at checkout. Founding Member rates are locked at the rate in effect at the time of initial subscription and will not increase as long as the subscription remains active without lapse. Standard rates are subject to change with 30 days notice. All fees are non-refundable except as required by law or as expressly stated at the time of purchase.

5. Cancellation

You may cancel your subscription at any time. Cancellation takes effect at the end of the current billing period. No prorated refunds are issued for partial periods. Founding Member rates are forfeited upon cancellation and cannot be reinstated.

6. Eligibility

You must be at least 18 years of age to use TraderTools Pro. You represent that you have the legal capacity to enter into a binding agreement and that your use of the service complies with all laws applicable in your jurisdiction.

7. Prohibited Use

You may not use TraderTools Pro to: (a) scrape, harvest, or systematically download data using automated means; (b) resell, sublicense, or redistribute data or content to third parties; (c) build competing products using TraderTools Pro data; (d) interfere with or disrupt platform infrastructure; (e) circumvent access controls or authentication systems; or (f) violate any applicable law. Violations may result in immediate account termination without refund.

8. Intellectual Property

All content, data compilations, scores, algorithms, interfaces, and software comprising TraderTools Pro and its linked platforms are the exclusive intellectual property of Guerilla Finance Inc. and are protected by U.S. copyright, trade secret, and other applicable laws. Your subscription grants a limited, non-exclusive, non-transferable license to access the platforms for personal research purposes only.

9. Data Accuracy Disclaimer

TraderTools Pro aggregates data from public sources including SEC EDGAR, FDA.gov, SAM.gov, ClinicalTrials.gov, and other regulatory databases. Data may be delayed, incomplete, or contain errors. SEC filings may be filed up to 4 business days after the triggering event. We make no warranty that data is accurate, complete, or current. You are solely responsible for independently verifying all data before making any decision.

10. Warranty Disclaimer

TRADERTOOLS PRO AND ALL LINKED PLATFORMS ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTY OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, ACCURACY, OR NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICES WILL BE UNINTERRUPTED, ERROR-FREE, OR FREE OF HARMFUL COMPONENTS.

11. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, GUERILLA FINANCE INC. AND ITS OWNERS, OFFICERS, EMPLOYEES, AND AGENTS SHALL NOT BE LIABLE FOR ANY TRADING LOSSES, INVESTMENT LOSSES, LOST PROFITS, OR ANY DIRECT, INDIRECT, INCIDENTAL, CONSEQUENTIAL, SPECIAL, OR PUNITIVE DAMAGES ARISING FROM YOUR USE OF TRADERTOOLS PRO OR ANY LINKED PLATFORM. OUR TOTAL AGGREGATE LIABILITY FOR ANY CLAIM SHALL NOT EXCEED FIFTY U.S. DOLLARS ($50.00).

12. Indemnification

You agree to indemnify, defend, and hold harmless Guerilla Finance Inc. and its officers, employees, contractors, and agents from any claims, damages, losses, or expenses (including attorneys' fees) arising from your use of TraderTools Pro, your violation of these Terms, or any investment or trading decision you make using TraderTools Pro data.

13. Dispute Resolution and Arbitration

Any dispute arising from these Terms or your use of TraderTools Pro shall be resolved by binding arbitration administered by the American Arbitration Association under its Commercial Arbitration Rules, in Fulton County, Georgia. YOU WAIVE ANY RIGHT TO PARTICIPATE IN A CLASS ACTION LAWSUIT OR CLASS-WIDE ARBITRATION. The arbitrator's decision shall be final and binding.

14. Governing Law

These Terms are governed by the laws of the State of Georgia, without regard to its conflict of law provisions.

15. Modifications

We reserve the right to modify these Terms at any time. Continued use of TraderTools Pro following notice of changes constitutes your acceptance of the revised Terms.
